Acceptance of Terms
By accessing or using VultFlow, you agree to these Terms. If you use VultFlow on behalf of a company or other organization, you represent that you have authority to bind that organization, and references to 'you' include that organization.
Business Use Only
VultFlow is designed for business and operational use by irrigation and field-service teams. You may use the services only in compliance with these Terms, your agreement with us, and applicable law.
Accounts and Organization Access
- You must provide accurate account information and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for activities that occur under your account.
- Organization owners and administrators are responsible for managing workspace access, permissions, team members, and the content entered into their tenant environment.
- We may suspend or restrict access if we detect suspected fraud, abuse, security issues, or violations of these Terms.
Customer Data
You retain ownership of the data, files, photos, recordings, notes, invoices, and other content that you or your organization submit to VultFlow, subject to the rights needed for us to operate the services.
You grant VultFlow a limited, non-exclusive right to host, copy, process, transmit, and display Customer Data solely as necessary to provide, secure, support, and improve the services, comply with law, and enforce our agreements.
You are responsible for ensuring that you have all rights, notices, and permissions needed to upload and process Customer Data, including any client contact data, photos, or recordings.
Acceptable Use
- Do not use VultFlow to violate law, infringe rights, harass others, or transmit unlawful, fraudulent, defamatory, or misleading content.
- Do not attempt to gain unauthorized access to the service, other accounts, or related systems.
- Do not interfere with the operation, integrity, or security of the service, including through scraping, reverse engineering, malware, denial-of-service activity, or automated abuse.
- Do not use the service to process personal data where you lack a valid legal basis or required notice/consent.
Mobile Features and Permissions
Certain mobile features require access to device capabilities, such as microphone, camera, or photo library. Those features are optional, and you control whether to grant those permissions through your device settings.
Billing and Payments
If you purchase paid services from us, pricing, billing frequency, taxes, and payment terms will be described in your order form, invoice, or other commercial agreement with us.
Some invoice payments are processed using Stripe-hosted or Stripe-powered payment tooling. Payment-processing services are subject to Stripe's terms and privacy practices in addition to these Terms.
Late, failed, or disputed payments may result in suspension or restriction of paid features, subject to applicable law and any separate written agreement.
Third-Party Services
VultFlow integrates with third-party providers, including authentication, hosting, geocoding, email, speech-to-text, and payment services. We are not responsible for third-party products or services except as required by law.
If you download the mobile app through the Apple App Store or Google Play, Apple and Google are not parties to these Terms and are not responsible for the app or its content. Your use of the app may also be subject to the applicable app-store terms.
Intellectual Property
VultFlow, including its software, design, trademarks, logos, documentation, and related materials, is owned by Vult Media or its licensors and is protected by intellectual-property laws.
Subject to these Terms and any applicable commercial agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to use the services for your internal business purposes.
Feedback
If you provide feedback, ideas, or suggestions about VultFlow, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or obligation to you.
Availability and Changes
We may modify, update, add, or remove features from time to time. We may also perform maintenance, issue patches, or release updates, including mobile app updates and over-the-air updates where supported.
We do not guarantee that the services will be uninterrupted, error-free, or available at all times.
Termination
You may stop using the services at any time. We may suspend or terminate access if you violate these Terms, fail to pay amounts due, create security or legal risk, or if we discontinue the services.
Upon termination, rights granted to you under these Terms end, but provisions that by their nature should survive termination will survive, including provisions on payments due, intellectual property, disclaimers, limitations of liability, and dispute terms.
Disclaimers
To the maximum extent permitted by law, VultFlow is provided 'as is' and 'as available.' We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that outputs from AI-assisted, mapping, email, or transcription features will always be complete, accurate, or suitable for every use case, and you remain responsible for reviewing operational and billing information before sending it to clients or relying on it in the field.
Limitation of Liability
To the maximum extent permitted by law, Vult Media and its affiliates, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities arising out of or related to VultFlow.
To the maximum extent permitted by law, our aggregate liability for claims arising out of or related to the services will not exceed the amount paid by you or your organization to Vult Media for the services in the twelve months preceding the event giving rise to the claim, or one hundred Canadian dollars if no fees were paid during that period.
Governing Law
If you have a separate written agreement with Vult Media that specifies governing law or venue, that agreement controls. Otherwise, these Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, excluding conflict-of-law rules, and the courts located in Ontario, Canada will have exclusive jurisdiction except where mandatory law requires otherwise.
